Complying with the most advanced recommendations in corporate governance

Soitec has been a publicly-traded company since 1999. With a distinctly international investor base, we have aligned our corporate governance systems with the most advanced recommendations available. The AFEP-MEDEF Code of Corporate Governance for Listed Companies serves as our main guide. (AFEP is an association of France’s top listed companies; MEDEF is the country’s leading federation of employers). For our internal control processes, we follow the recommendations of France’s stock-market regulator, the Autorité des marchés financiers (AMF).

Our Board of Directors is made up of directors selected for their management expertise and proven track records in the global semiconductor industry. As required by the regulatory authorities, our Board of Directors also has a Strategy Committee, an Audit Committee, and a Compensation, Benefits, and Nominating Committee.

Our internal control system, known as the “Soitec System,” is implemented by the Finance Division and overseen by the Office of the Chairman.

Executive bodies

At Soitec, the following three bodies are responsible for corporate governance:

The Chief Executive Officer: André-Jacques Auberton-Hervé is both Chairman of the Board of Directors and Chief Executive Officer of Soitec. He has full latitude to make decisions on behalf of the company. However, he must obtain the Board of Directors’ approval before making major decisions like setting up foreign offices or plants, reorienting the company’s business strategy, or changing the company’s financial structure, for instance.

The Chief Operating Officer: Paul Boudre is Soitec’s Chief Operating Officer. He is invested with the same powers as the CEO, but must first obtain the CEO’s approval for certain important decisions or for financial commitments exceeding a certain threshold.

The Office of the Chairman: The Office of the Chairman, which works closely with division management, was set up to reflect upon, coordinate, and communicate on issues concerning all of Soitec’s activities. The Office of the Chairman currently counts five members: André-Jacques Auberton-Hervé, CEO; Paul Boudre, COO; Olivier Brice, CFO; Corinne Margot, Executive Vice President Human Resources and Corporate Communications and Francis Taroni, Corporate Senior Vice President Industrial Operations.
